Property Perfect Faces TRIS CreditAlert Negative on Delayed Q2 Reports

TRIS Rating has placed a CreditAlert with a Negative implication on the company and issue ratings of Property Perfect PLC (PF) on 17 August 2026. The action follows the developer’s failure to submit its financial statements for the period ended 30 June 2026 within the regulatory timeframe, which also affects its THB447.7 million subordinated capital debentures (PF17PA).

Reporting Delays Across Key Subsidiaries

The reporting setback stems primarily from PF’s subsidiaries, Royal Orchid Hotel (Thailand) PLC (ROH) and Grande Asset Hotels and Property PLC (GRAND). Both entities required additional time to finalize and submit their respective second-quarter 2026 financial statements, preventing the parent company from consolidating and publishing its group statements on schedule.

PF has formally indicated that it expects to submit the finalized financial statements to the Stock Exchange of Thailand (SET) by 30 September 2026. TRIS Rating stated that the current rating action is linked directly to these delayed disclosures and will be resolved once the official figures become publicly accessible for review.

Covenant Breach and Rating Risks

The missed regulatory deadline has triggered a technical covenant breach under PF’s debenture agreements. The real estate developer is currently entitled to a 30-day cure period to rectify the issue, though failure to remedy the breach within the timeframe could constitute an event of default and prompt a further rating downgrade from its current C issuer standing.

TRIS Rating noted that late submissions negatively affect transparency and investor confidence, which may heighten refinancing risks and constrain the company’s financial flexibility and liquidity. Resolution of the CreditAlert remains pending the release of the audited reports or sufficient data to assess the firm’s ongoing credit profile.
